1. Agreement to These Terms

These Terms of Service ("Terms") are a binding legal agreement between you ("you," "Customer," or "User") and Offset Exchange LLC ("Offset Exchange," "we," "us," or "our") governing your access to and use of the OffsetBuild software, dashboard, documentation, and related services (collectively, the "Software"). By purchasing, downloading, installing, running, or otherwise using the Software, you agree to be bound by these Terms and by the Privacy Policy below. If you do not agree, do not use the Software.

You represent that you are at least 18 years old and have the authority to enter into these Terms, and, if using the Software on behalf of an organization, that you are authorized to bind that organization.

2. The Software & Your License

OffsetBuild is a developer tool that runs on your own computer and helps you produce Android application artifacts (such as signed Android App Bundles) and manage related build tasks for your React Native / Expo projects.

Subject to your continuous compliance with these Terms and an active paid subscription, Offset Exchange grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software solely for your own internal software-development purposes, on computers you own or control, for the duration of your subscription.

This is a license to use the Software. No ownership, source code, or rights in the Software are sold or transferred to you. All rights not expressly granted are reserved by Offset Exchange LLC.

3. Restrictions (What You May Not Do)

To protect Offset Exchange's proprietary technology and business, you agree that you will not, and will not permit or assist any third party to:

Any breach of this Section 3 is a material breach of these Terms, causes irreparable harm for which monetary damages are inadequate, and entitles Offset Exchange to immediate termination of your license and to seek injunctive and other equitable relief in addition to any other remedies.

4. Intellectual Property & Proprietary Rights

The Software and all associated intellectual property — including its source code, object code, obfuscated code, architecture, design, user interface, dashboards, workflows, build and update methods, techniques, know-how, documentation, trademarks, and the name "OffsetBuild" — are and remain the sole and exclusive property of Offset Exchange LLC and its licensors, and are protected by United States and international copyright, trademark, trade-secret, and other intellectual-property laws.

The internal operation, methods, and techniques of the Software are confidential and proprietary trade secrets of Offset Exchange LLC. You acknowledge that you receive no rights to them and agree not to disclose, misappropriate, or use them except as expressly permitted by these Terms.

You retain all rights to your own source code, projects, keystores, and application artifacts. The Software does not acquire any rights in your code, and — because the Software runs locally on your machine — your source code and projects are not transmitted to Offset Exchange (see the Privacy Policy).

5. Subscriptions, Billing & Cancellation

The Software is provided on a recurring subscription basis. Subscriptions are sold and billed through our third-party merchant, Gumroad, subject to Gumroad's own terms and privacy policy. By subscribing you authorize recurring charges to your selected payment method until you cancel.

Your subscription automatically renews at the then-current price for successive periods unless cancelled before the renewal date. You may cancel at any time through Gumroad or your account; cancellation stops future renewals. When a subscription ends, lapses, or a payment fails, your license terminates and the Software will stop functioning (it verifies an active subscription).

We may change subscription prices on a prospective basis; any change applies to renewals after we provide reasonable notice. Taxes, if any, are your responsibility.

6. Refunds

Because the Software is a digital product delivered immediately, all sales are final and payments are non-refundable, except where a refund is required by applicable law or expressly granted by Offset Exchange in its sole discretion. Cancelling a subscription prevents future charges but does not retroactively refund amounts already paid. If you believe you were charged in error, contact us and we will review in good faith.

7. Your Responsibilities & Third-Party Tools

The Software orchestrates build tasks on your machine and relies on third-party tools and platforms that you must supply, install, and maintain — including, for example, Node.js, a Java Development Kit, the Android SDK, and Google Play Console. You are solely responsible for: (a) installing and maintaining those tools; (b) the content, licensing, and legality of your own applications; (c) safeguarding your signing keystores and credentials (loss of a keystore may prevent you from updating your app, and we cannot recover it); and (d) your compliance with the terms of Google Play and any other platform to which you distribute.

Offset Exchange is an independent company and is not affiliated with, endorsed by, or sponsored by Google, Expo, Meta, or any other third party. "Android," "Google Play," "React Native," "Expo," and other marks are the property of their respective owners.

8. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, whether express, implied, or statutory. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OFFSET EXCHANGE DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Software will be uninterrupted, error-free, secure, or that it will produce any particular result, build successfully in every environment, or meet your requirements. You assume the entire risk of using the Software.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OFFSET EXCHANGE LLC AND ITS MEMBERS, OFFICERS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS, ARISING OUT OF OR RELATING TO THE SOFTWARE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT WILL OFFSET EXCHANGE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SOFTWARE OR THESE TERMS EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO OFFSET EXCHANGE FOR THE SOFTWARE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) FIFTY U.S. DOLLARS ($50). Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

10. Indemnification

You will defend, indemnify, and hold harmless Offset Exchange LLC and its members, officers, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Software; (b) the applications you build or distribute; (c) your violation of these Terms; or (d) your violation of any law or third-party right.

11. Termination

These Terms remain in effect while you use the Software. We may suspend or terminate your license and access immediately, without notice, if you breach these Terms (including Section 3). Upon termination you must stop using and delete all copies of the Software. Sections that by their nature should survive termination — including Sections 3, 4, 6, 8, 9, 10, and 12 — will survive.

12. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of the State of Colorado, USA, without regard to its conflict-of-laws rules. You agree that the exclusive venue for any dispute arising out of or relating to these Terms or the Software will be the state or federal courts located in Colorado, and you consent to their personal jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

13. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Software after changes take effect constitutes acceptance of the revised Terms.

14. Privacy Policy

This Privacy Policy explains what information Offset Exchange LLC collects in connection with OffsetBuild and how we use it. We designed OffsetBuild to be privacy-respecting by default.

The most important point: OffsetBuild runs entirely on your own computer. Your source code, projects, keystores, and build artifacts never leave your machine and are never sent to us. We do not have access to them.

Information we collect

We do not collect, receive, transmit, or store your application source code, project files, signing keystores, passwords, or build outputs. These stay on your device.

How we use information

We use the limited information we collect to: provide and secure the Software; verify subscriptions; process purchases and provide support; comply with legal obligations; and communicate with you about your purchase. We do not sell your personal information, and we do not share it except with service providers who help us operate (such as Gumroad and our hosting/verification providers) or as required by law.

Data retention & security

We retain purchase and license information for as long as needed to provide the Software, support you, and meet legal and accounting requirements, then delete or anonymize it. We use reasonable measures to protect the information we hold, though no method of transmission or storage is completely secure.

Your rights (including Colorado residents)

Depending on where you live, you may have rights to access, correct, delete, or port your personal information, and to opt out of certain processing. Colorado residents have rights under the Colorado Privacy Act. To exercise any right, email us at the address below and we will respond as required by applicable law.

Children

OffsetBuild is a professional developer tool intended for adults. It is not directed to children under 13, and we do not knowingly collect their information.
